These terms and conditions (the "Terms and Conditions") govern the use of https://www.godesignguru.com/ (the "Site"). This Site is owned and operated by Guru Group International Ltd. This Site is an ecommerce website.

By using this Site, you indicate that you have read and understand these Terms and Conditions and agree to abide by them at all times.

Intellectual Property
All content published and made available on our Site is the property of Guru Group International Ltd and the Site's creators. This includes, but is not limited to images, text, logos, documents, methodology, standard operating procedures (SOPs), downloadable files and anything that contributes to the composition of our Site.

Upon full payment of the applicable fees, we grant you a non-exclusive, worldwide, perpetual license to use the designs we create for you for any lawful purpose.

Accounts
When you create an account on our Site, you agree to the following:

• You are solely responsible for your account and the security and privacy of your account, including passwords or sensitive information attached to that account;

• All personal information you provide to us through your account is up to date, accurate, and truthful and that you will update your personal information if it changes.

• We reserve the right to suspend or terminate your account if you are using our Site illegally or if you violate these Terms and Conditions.

Sale of Services
These Terms and Conditions govern the sale of services available on our Site. We are under a legal duty to supply goods that match the description of the good(s) you order on our Site. The following services are available on our Site: Graphic Design, Video Editing and UX/UI Design Subscription Packages.

The services will be paid for in full when the services are ordered. These Terms and Conditions apply to all the services that are displayed on our Site at the time you access it. All information, descriptions, or images that we provide about our services are as accurate as possible. However, we are not legally bound by such information, descriptions, or images as we cannot guarantee the accuracy of all services we provide.

You agree to purchase services from our Site at your own risk. We reserve the right to modify, reject or cancel your order whenever it becomes necessary. If we cancel your order and have already processed your payment, we will give you a refund equal to the amount you paid. You agree that it is your responsibility to monitor your payment instrument to verify receipt of any refund.

Subscriptions
Your subscription automatically renews and you will be automatically billed until we receive notification that you want to cancel the subscription. To cancel your subscription, please follow these steps:

• For clients that have been using the Services for more than 30 days, please provide the Company with at least 7 days notice prior to the renewal date of your Subscription. For more information on how to cancel your subscription please refer to "Right to Cancel" below.

Free Trial
We offer the following free trial of our services: For select customers, a 10-day free trial will grant access to the DesignGuru portal, and allow users to upload a Graphic or Video design task.At the end of your free trial, the following will occur: If the Customer wishes to proceed with a paid subscription, the plan will automatically renew unless canceled first.To cancel your free trial, please follow these steps: Contact either your designated client success manager, email support@godesignguru.com or simply add a comment to your dedicated design portal.

Payments
We accept the following payment methods on our Site: Credit Card. For certain Customer, we may pre-agree alternative payment methods that may involve direct debit, or off-invoice payments. For such agreements, a valid contract must be in place.

When you provide us with your payment information, you authorise our use of and access to the payment instrument you have chosen to use. By providing us with your payment information, you authorise us to charge the amount due to this payment instrument.

If we believe your payment has violated any law or these Terms and Conditions, we reserve the right to cancel or reverse your transaction.

Right to Cancel
To exercise your right to cancel you must inform us of your decision to cancel within the cancellation period.

Refunds
Refunds for Design Services may only be processed if: (a) A subscription has begun by mistake, (b) The Client was not authorized to make the payment, or (c) The Client has received written confirmation by a member of the DesignGuru leadership team.

Consumer Protection Law
Where the Sale of Goods Act 1979, the Consumer Rights Act 2015, or any other consumer protection legislation in your jurisdiction applies and cannot be excluded, these Terms and Conditions will not limit your legal rights and remedies under that legislation. These Terms and Conditions will be read subject to the mandatory provisions of that legislation. If there is a conflict between these Terms and Conditions and that legislation, the mandatory provisions of the legislation will apply.

Limitation of Liability
Guru Group International Ltd and our directors, officers, agents, employees, subsidiaries, and affiliates will not be liable for any actions, claims, losses, damages, liabilities and expenses including legal fees from your use of the Site or any of the Services purchased from it.

Indemnity
Except where prohibited by law, by using this Site you indemnify and hold harmless Guru Group International Ltd and our directors, officers, agents, employees, subsidiaries, and affiliates from any actions, claims, losses, damages, liabilities and expenses including legal fees arising out of your use of our Site or your violation of these Terms and Conditions.

Non Solicitation

As a valued client of DesignGuru, you recognize the importance of our team in delivering exceptional design services. To maintain the integrity of our creative ecosystem, you agree to the following:

a) For a period spanning from your first engagement with our services until one year after our professional relationship ends, you commit to not:

• Directly or indirectly headhunt, recruit, or employ any DesignGuru team member

• Encourage or entice any of our staff, freelancers, or contractors to leave their position with us

• Engage the services of our team members in any capacity that competes with or undermines their role at DesignGuru

b) This commitment applies to all individuals who have contributed to your design projects, including full-time employees, part-time staff, consultants, and subcontractors.

Exceptional Circumstances

We understand that unique situations may arise. If you wish to explore the possibility of working with a DesignGuru team member outside of our service framework:

a) You must first obtain explicit written permission from DesignGuru's leadership.

b) If we grant this exceptional approval, a transition fee will apply. This fee will be the greater of:

• 30% of the team member's current annual compensation at DesignGuru, or

• 30% of the annual compensation you intend to offer the team member

Applicable Law
These Terms and Conditions are governed by the laws of the Country of England.

Dispute Resolution
Subject to any exceptions specified in these Terms and Conditions, if you and Guru Group International Ltd are unable to resolve any dispute through informal discussion, then you and Guru Group International Ltd agree to submit the issue first before a non-binding mediator and to an arbitrator in the event that mediation fails. The decision of the arbitrator will be final and binding. Any mediator or arbitrator must be a neutral party acceptable to both you and Guru Group International Ltd.Notwithstanding any other provision in these Terms and Conditions, you and Guru Group International Ltd agree that you both retain the right to bring an action in small claims court and to bring an action for injunctive relief or intellectual property infringement.

Additional Terms

During a free trial period, no source files will be provided. To obtain source files, the Customer may proceed to a paid Order at any point, or, automatically once the trial is over.; andIf a Customer is within a money-back guarantee period, then any task marked as completed within the Customer portal (portal.godesignguru.com) will be considered as a forfeit of the money-back guarantee. Similarly, a task marked as 'delivered' by the Supplier that has had no feedback or follow-up after 7 days will be automatically marked as completed.

Severability
If at any time any of the provisions set forth in these Terms and Conditions are found to be inconsistent or invalid under applicable laws, those provisions will be deemed void and will be removed from these Terms and Conditions. All other provisions will not be affected by the removal and the rest of these Terms and Conditions will still be considered valid.

Changes
These Terms and Conditions may be amended from time to time in order to maintain compliance with the law and to reflect any changes to the way we operate our Site and the way we expect users to behave on our Site. We will notify users by email of changes to these Terms and Conditions or post a notice on our Site.

Affiliates
Participation in the Affiliate Program is open to individuals and entities with the following criteria:

• Are of legal age and capacity to enter into a binding contract.

• Agree to comply with all the terms and conditions of this agreement.

Interested parties must submit a completed application. Acceptance into the program is at our discretion and may be based on criteria such as content quality, audience demographics, and alignment with our brand.

Affiliates will earn commissions based on sales generated through their unique affiliate links. The specific rate and structure of commissions will be communicated upon approval into the program and detailed in the specific areaof the affiliate dashboard to which an affiliate has signed up to.

‍We reserve the right to alter commission rates, structures, or methods. Any changes will be communicated to affiliates with reasonable notice.

Commissions will be paid out automatically once you reach the minimum payout threshold, which will be detailed within the affiliated dashboard.

‍Payments will be made through PayPal

All affiliates agree to be responsible for for their own tax affairs. If you unsure how commission payouts affect your tax paper status, we suggest you speak to a local accountant or tax specialist.

Affiliates are permitted to use our brand, logo, and marketing materials as provided in the affiliate program toolkit. Such usage must adhere to our brand guidelines and not misrepresent or mislead regarding our products or services.

‍Modification or alteration of brand assets is not permitted. Affiliates must immediately comply with any requests to modify or remove brand materials from their channels or risk being removed from the program and withdrawal of any commissions due.

The following activities are grounds for immediate expulsion from the program:

• Engaging in or supporting fraudulent activities.

• Violating any laws or regulations in the course of promoting our products.

• Misrepresenting our products or services.

• Engaging in spamming, unsolicited communications, or harmful marketing practices.

5.2. Consequences of Expulsion: Upon expulsion, all unpaid commissions will be forfeited, and the affiliate will be barred from future participation in the program.
