These terms and conditions (the "Terms and Conditions") govern the use of https://www.godesignguru.com/ (the "Site"). This Site is owned and operated by Guru Group International Ltd (the "Company"). This Site is an e-commerce website providing design services (the "Services") for clients (the "Customer").
By using this Site, the Customer agrees to have read and understood these Terms and Conditions and agrees to abide by them at all times.
Intellectual Property
Upon full payment of the applicable fees, the Company grants the Customer a non-exclusive, worldwide, perpetual license to use the designs for any lawful purpose. This perpetual license means the Customer retains the right to use the intellectual property even after cancellation of a subscription. However, this license is non-transferable and does not grant the Customer the right to resell or redistribute Company designs as standalone products.
While the Company will do everything to ensure original, unique designs are produced, there is no guarantee that they could be trademarked. It is therefore the Customer's responsibility to check any trademark or intellectual property eligibility or infringement.
Accounts
Upon creation of a new subscription, the Customer agrees that:
The Customer is solely responsible for the account, its security, and its privacy, including passwords or sensitive information attached to that account.
All personal information the Customer provides to us through the account is up to date, accurate, and truthful, and the Customer will update any personal information if it changes.
The Company reserves the right to suspend or terminate the Services if the Customer is using the Site illegally or if the Customer violates these Terms and Conditions.
Sale of Services
These Terms and Conditions govern the sale of services available on the Site. The Company is under a legal duty to supply goods that match the description of the good(s) the Customer orders on the Site. The following services are available on the Site: Graphic Design, Video Editing, and UX/UI design subscription packages. These are named "CORE," "PRO," and "ULTIMATE" respectively, and are available to purchase either as a rolling monthly subscription or a rolling quarterly subscription.
The Services will be paid for in full when the Services are ordered. These Terms and Conditions apply to all the Services that are displayed on the Site at the time the Customer accesses it. All information, descriptions, or images that the Company provides about the Services are as accurate as possible. The Company is not legally bound by such information, descriptions, or images as the Company cannot guarantee the accuracy of all services provided.
The Customer agrees to purchase services from the Site at their own risk. The Company reserves the right to modify, reject, or cancel the order whenever it becomes necessary. If the Company cancels the order and has already processed the Customer's payment, the Company will give the Customer a refund equal to the amount paid. The Customer agrees that it is their responsibility to monitor their payment instrument to verify receipt of any refund.
Subscriptions & Cancellations
All Services come with a 14-day money-back guarantee. This is applicable to the Customer's first billing period only and applies to both monthly and quarterly payment options.
The Customer's Services automatically renew and will be automatically billed until the Company receives notification that the Customer wants to cancel the Services. For all clients, a 14-day notice period is required prior to cancellation. This term is applicable for both monthly and quarterly billing cycles. For clarity, if the Customer's payment is due on the 28th of the month, the Company must receive the cancellation request on or before 17:00 on the 14th day of that month. To cancel the Services, please refer to the 'Right to Cancel' section below.
All work, including but not limited to, production of new designs, preparation & upload of working files, revisions, and other design tasks relating to the Services must be completed during an active billing period for the Services. If the Services are cancelled or paused, then no further work will commence and any current projects will be closed or paused accordingly.
Payments
The Company accepts payments by Credit Card, or for some Customers, Direct Debit only. Alternative payment methods may be pre-agreed for certain Customers, but this must be formally documented in a separate contract. The Company does not offer payment terms unless separately agreed in writing. In cases of late or failed payments, the Company reserves the right to pursue settlement through alternative measures, including but not limited to debt collection or legal action.
By providing the Company with payment information, the Customer authorizes the Company to charge the amount due to this payment instrument. If the Company believes a payment has violated any law or these Terms and Conditions, the Company reserves the right to cancel or reverse the Customer's transaction.
If a cancellation notice is received, the Company reserves the right to bill one full Services period, in line with the Subscription & Cancellations terms. This is to avoid deliberate attempts to block future billing and circumvent the Company's standard subscription and cancellation terms.
Right to Cancel
To exercise a right to cancel, the Customer must inform the Company of the decision to cancel within the cancellation period.

Refunds
Refunds for Services may only be processed if: (a) Services have begun by mistake, (b) The Customer was not authorized to make the payment, or (c) The Customer has received written confirmation by a member of the Company leadership team. Subject to one of the above conditions being met, refunds may only be processed within 7 days of a successful charge.
Consumer Protection Law
Where the Sale of Goods Act 1979, the Consumer Rights Act 2015, or any other consumer protection legislation in the Customer's jurisdiction applies and cannot be excluded, these Terms and Conditions will not limit the Customer's legal rights and remedies under that legislation. These Terms and Conditions will be read subject to the mandatory provisions of that legislation. If there is a conflict between these Terms and Conditions and that legislation, the mandatory provisions of the legislation will apply.
Limitation of Liability
Guru Group International Ltd and its directors, officers, agents, employees, subsidiaries, and affiliates will not be liable for any actions, claims, losses, damages, liabilities, and expenses including legal fees from the Customer's use of the Site or any of the Services purchased from it.
Indemnity
Except where prohibited by law, by using this Site, the Customer indemnifies and holds harmless Guru Group International Ltd and its directors, officers, agents, employees, subsidiaries, and affiliates from any actions, claims, losses, damages, liabilities, and expenses including legal fees arising out of the use of the Site or the violation of these Terms and Conditions.
Non-Solicitation
As a valued Customer of the Company, the importance of the team in delivering exceptional Services is recognized. To maintain the integrity of our Company, the Customer agrees to the following:
a) For a period spanning from your first engagement with our Services until one year after the professional relationship ends, you commit to not:
Directly or indirectly headhunt, recruit, or employ any Company team member.
Encourage or entice any of the staff, freelancers, or contractors to leave their position with the Company.
Engage the Services of the Company team members in any capacity that competes with or undermines their role at the Company.
b) This commitment applies to all individuals who have contributed to the Customer's design projects, including full-time employees, part-time staff, consultants, and subcontractors.
Exceptional Circumstances
The Company understands that unique situations may arise. If the Customer wishes to explore the possibility of working with a Company team member outside of the Services framework:
a) The Customer must first obtain explicit written permission from the Company leadership. b) If the Company grants this exceptional approval, a transition fee will apply. This fee will be the greater of:
50% of the team member's current annual compensation at the Company, or
50% of the annual compensation you intend to offer the team member.
Applicable Law
These Terms and Conditions are governed by the laws of England and Wales.
Dispute Resolution
Subject to any exceptions specified in these Terms and Conditions, if the Customer and the Company are unable to resolve any dispute through informal discussion, then the Customer and the Company agree to submit the issue first before a non-binding mediator and to an arbitrator in the event that mediation fails. The decision of the arbitrator will be final and binding. Any mediator or arbitrator must be a neutral party acceptable to both the Customer and the Company. Notwithstanding any other provision in these Terms and Conditions, the Customer and the Company agree that both retain the right to bring an action in small claims court and to bring an action for injunctive relief or intellectual property infringement.
Force Majeure
Neither party shall be liable for any failure or delay in performance of its obligations under these Terms where such failure or delay results from any cause that is beyond the reasonable control of that party. Such causes include, but are not limited to: power failure, Internet service provider failure, industrial action, civil unrest, fire, flood, storms, earthquakes, acts of terrorism, acts of war, governmental action, pandemic, epidemic, or any other event that is beyond the control of the party in question. If affected by such an event, the affected party shall notify the other party as soon as reasonably possible.
Additional Terms
If a Customer is within a money-back guarantee period, then any task marked as completed within the Customer portal (portal.godesignguru.com) will be considered a forfeit of the money-back guarantee. Similarly, a task marked as 'Pending Client Feedback' by the Company that has had no feedback or follow-up after 7 days will be automatically marked as completed.
Severability
If at any time any of the provisions set forth in these Terms and Conditions are found to be inconsistent or invalid under applicable laws, those provisions will be deemed void and will be removed from these Terms and Conditions. All other provisions will not be affected by the removal and the rest of these Terms and Conditions will still be considered valid.
Changes
These Terms and Conditions may be amended from time to time in order to maintain compliance with the law and to reflect any changes to the way we operate our Site and the way the Company expects Customers to behave on the Site.
Affiliates
Participation in the Affiliate Program is open to individuals and entities with the following criteria:
Are of legal age and capacity to enter into a binding contract.
Agree to comply with all the terms and conditions of this agreement.
Interested parties must submit a completed application. Acceptance into the program is at our discretion and may be based on criteria such as content quality, audience demographics, and alignment with our brand.
Affiliates will earn commissions based on sales generated through their unique affiliate links. The specific rate and structure of commissions will be communicated upon approval into the program and detailed in the specific area of the affiliate dashboard to which an affiliate has signed up.
We reserve the right to alter commission rates, structures, or methods. Any changes will be communicated to affiliates with reasonable notice.
Commissions will be paid out automatically once you reach the minimum payout threshold, which will be detailed within the affiliated dashboard.
Payments will be made through PayPal.
All affiliates agree to be responsible for their own tax affairs. If you are unsure how commission payouts affect your tax status, we suggest you speak to a local accountant or tax specialist.
Affiliates are permitted to use our brand, logo, and marketing materials as provided in the affiliate program toolkit. Such usage must adhere to our brand guidelines and not misrepresent or mislead regarding our products or services.
Modification or alteration of brand assets is not permitted. Affiliates must immediately comply with any requests to modify or remove brand materials from their channels or risk being removed from the program and withdrawal of any commissions due.
The following activities are grounds for immediate expulsion from the program:
Engaging in or supporting fraudulent activities.
Violating any laws or regulations in the course of promoting our products.
Misrepresenting our products or services.
Engaging in spamming, unsolicited communications, or harmful marketing practices.
Consequences of Expulsion: Upon expulsion, all unpaid commissions will be forfeited, and the affiliate will be barred from future participation in the program.
Data Protection
The Company is registered with the Information Commissioner's Office (ICO) under certificate number ZB596259. If you wish to have your data removed from our systems, you can submit a request by emailing support@godesignguru.com. We will process such requests in accordance with applicable data protection laws and regulations.
Changes to Terms
We reserve the right to modify, amend, or update these Terms and Conditions at any time without prior consent or notification. Your continued use of our services following any changes to these Terms and Conditions constitutes your acceptance of such changes. It is your responsibility to review these Terms and Conditions periodically for any updates or changes.
